Terms of Use.

These terms govern access to and use of this marketing site at web.dataportal.live. Customer portals, hardware supply, software licences, and services engagements are governed by separate written contracts signed with each customer.

1. Definitions

In these terms:

  • "DataPortal", "we", "us", "our" — the trading name shared by two affiliated private companies: DataPortal Ltd (a Hong Kong company, Business Registration No. 80278829-000-04-26-8) and DataPortal (Pty) Ltd (a South African company, Registration No. 2018/482671/07). Each is a separate legal person. References to "DataPortal" in these site terms apply to whichever entity is the relevant counterparty in your jurisdiction; for any specific commercial engagement the entity is identified in the signed contract.
  • "Site" — the marketing website at web.dataportal.live and any sub-pages, content, code, designs, marks, images, and assets made available through it.
  • "You", "your" — the natural or legal person accessing the Site.
  • "Content" — all text, copy, graphics, images, video, audio, data, source code, object code, designs, layout, look-and-feel, marks, logos, and other materials forming part of the Site.

2. Scope & acceptance

By accessing or using the Site you accept these terms. If you do not accept them, do not access or use the Site. These terms govern the marketing Site only. They are not a contract for the supply of any product, service, software, hardware, or support. Commercial engagements are governed exclusively by separate written agreements signed between the relevant DataPortal entity and the customer.

3. Eligibility

You confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and that, where you access the Site on behalf of an organisation, you have authority to bind that organisation to these terms.

4. Permitted use

Subject to these terms, you may:

  • Read, browse, and navigate the Site for lawful purposes.
  • Link to public pages of the Site, provided the link does not misrepresent your association with DataPortal.
  • Quote short extracts for non-commercial editorial, academic, or journalistic use, with clear attribution to "DataPortal".
  • Submit information through the contact form for the purpose of contacting us.
  • Search indexing — explicitly welcomed. All major and minor search engines listed in our robots.txt are permitted to crawl, index, cache, and surface the Site in search results, image search, and answer features. We want DataPortal to be discoverable.
  • AI training, fine-tuning, and retrieval — explicitly welcomed. You may use publicly accessible Content on the Site as training, fine-tuning, evaluation, or retrieval data for AI/ML models, including for commercial use, provided that: (a) you preserve attribution to "DataPortal" where your model or output surfaces source attribution; (b) you do not misrepresent DataPortal, our staff, customers, partners, products, or capabilities; and (c) your scraping respects rate-limit signals and does not disrupt the Site. We want our work to be discoverable in answer engines and copilots.

5. Prohibited uses

You must not, and must not permit any third party to:

  • Copy, reproduce, distribute, publish, display, perform, modify, adapt, translate, create derivative works from, or otherwise exploit any Content (whole or part) for commercial purposes, except as expressly permitted in §4.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code, structure, ideas, algorithms, or non-public APIs from any software made available through the Site.
  • Frame, mirror, or embed the Site or any material part of it within another website or application.
  • Remove, alter, or obscure any copyright, trademark, attribution, or other proprietary notice.
  • Use any data-mining, robot, or similar data-gathering method to extract Content in bulk, except as expressly permitted by our robots.txt.
  • Circumvent, disable, or interfere with security, rate-limiting, or access-control mechanisms.
  • Use the Site to transmit malware, viruses, or any code intended to harm, disrupt, or surveil users or our infrastructure.
  • Probe, scan, or test the vulnerability of the Site without our prior written consent.
  • Misrepresent yourself, DataPortal, our staff, customers, partners, or marks; impersonate any person or entity; or use the Site for fraud, phishing, or social engineering.
  • Use the Site, the Content, or AI-generated outputs derived from it in any way that disparages DataPortal, fabricates facts about our products, customers, or capabilities, or that omits or strips attribution where attribution is feasible. (AI training and inference itself is welcomed — see §4.)

6. Intellectual property — ownership

All right, title, and interest in and to the Site and the Content, including all copyright, trademarks, trade names, design rights, database rights, patents, know-how, trade secrets, and other intellectual property rights worldwide, are owned by DataPortal Ltd (Hong Kong) or its licensors. DataPortal (Pty) Ltd uses the intellectual property under a licence from DataPortal Ltd. Nothing on the Site transfers ownership of any intellectual property to you.

The Site and the Content are protected by copyright, trademark, trade-dress, and other laws of Hong Kong, South Africa, and other jurisdictions. Unauthorised use is a breach of these terms and may also breach applicable law.

7. Trademarks

"DataPortal", the DataPortal logo, the DataPortal stylised marks, and any associated brand identifiers are trademarks of DataPortal Ltd (Hong Kong), whether registered or unregistered. They may not be used in connection with any product, service, or content not provided by DataPortal, or in any manner likely to cause confusion among customers or to disparage or discredit DataPortal Ltd, without our prior written consent.

Third-party names, marks, and logos referenced on the Site (Wialon, GotYou, Cloudflare, hardware brand names, partner names, etc.) belong to their respective owners and are referenced under fair use for descriptive and informational purposes only. No endorsement, sponsorship, or partnership is implied by such reference unless expressly stated.

8. Reservation of rights

Except for the limited rights expressly granted in §4, no rights, licences, or interests of any kind in or to the Site, the Content, or our intellectual property are granted to you, by implication, estoppel, exhaustion, or otherwise. All rights not expressly granted are reserved by DataPortal Ltd.

9. Third-party content & links

The Site may reference, link to, or embed material from third parties (sister projects, partners, hardware brands, open-source libraries, hosting services). We do not control such material and accept no responsibility for it. Use of any third-party site or service is subject to that third party's own terms and privacy policy.

10. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Site and the Content are provided "as is" and "as available", without warranty of any kind, whether express, implied, statutory, or otherwise — including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, currency, security, or freedom from defect, error, virus, or interruption.

Without limiting the foregoing, we do not warrant that:

  • The Site will operate uninterrupted, secure, or error-free.
  • Defects in the Site will be corrected.
  • The Content is accurate, current, or complete at the time you read it.
  • Any information you rely on for commercial decisions is suitable for your purpose.

Specifications, partner lists, capabilities, pricing, availability, and roadmap statements may change without notice. Anything you intend to rely on commercially must be confirmed in a signed contract before you commit.

11. Limitation of liability

To the maximum extent permitted by applicable law, in no event will DataPortal Ltd, DataPortal (Pty) Ltd, or any of their respective directors, officers, employees, contractors, agents, or licensors be liable to you or any third party for any:

  • indirect, incidental, special, consequential, exemplary, or punitive damages;
  • loss of profit, revenue, data, goodwill, business opportunity, or anticipated savings;
  • cost of procurement of substitute goods or services;
  • damages arising out of or in connection with your access to, use of, or inability to access or use the Site or the Content,

regardless of the theory of liability (contract, tort, statute, or otherwise) and regardless of whether we have been advised of the possibility of such damages.

Our aggregate liability arising out of or in connection with these site terms — to the extent any liability cannot be excluded — is capped at USD 100, except to the extent applicable law prohibits such a cap. Liability for paid services is governed exclusively by the relevant signed contract, separately and severally per entity.

Some jurisdictions do not allow exclusion of certain warranties or limitations of certain damages. Where such exclusions or limitations are not permitted, our liability is limited to the smallest extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless DataPortal Ltd, DataPortal (Pty) Ltd, and their respective directors, officers, employees, and agents from and against any third-party claim, demand, action, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or in connection with: (a) your breach of these terms; (b) your misuse of the Site or the Content; or (c) your violation of any applicable law or third-party right.

13. Legal entities & separate corporate personality

"DataPortal" is the trading name shared by two affiliated private companies:

  • DataPortal Ltd — Hong Kong private company, Business Registration No. 80278829-000-04-26-8, registered office in Sheung Wan. Holder of all DataPortal intellectual property and trademarks. Counterparty for international engagements outside Africa.
  • DataPortal (Pty) Ltd — South African private company, Registration No. 2018/482671/07, registered office in Centurion. Licensee of DataPortal Ltd's intellectual property for South African and African market engagements.

Each entity is a separate legal person with its own assets, liabilities, contracts, and obligations. Neither is responsible for the debts, contracts, or acts of the other except where expressly agreed in writing or required by mandatory law. There is no joint and several liability between the two entities. Customers contract with one entity only — the entity identified in their signed contract — and may seek redress only against that contracting entity for matters arising under that contract.

References on the Site to "we", "us", "our team", or "DataPortal" describing operations, capability, or intent reflect the shared trading name and operational standards of the two entities. They are descriptive of the brand and must not be construed as creating a partnership, joint venture, single economic entity, agency, or other legal relationship that would render either entity liable for obligations of the other.

14. Governing law & jurisdiction

These site terms are governed by, and construed in accordance with, the laws of the Republic of South Africa, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these site terms is subject to the exclusive jurisdiction of the High Court of South Africa, Gauteng Division, Pretoria — except that DataPortal Ltd or DataPortal (Pty) Ltd may bring proceedings to enforce intellectual property rights in any jurisdiction where infringement is alleged to occur.

Customer engagements may specify a different governing law and jurisdiction in their signed contracts. In the event of conflict between these site terms and a signed customer contract, the signed contract prevails for that customer's dealings.

15. Severability

If any provision of these terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision is severed to the minimum extent necessary, and the remainder of these terms remain in full force and effect. The parties intend that the spirit of any severed provision be given effect through valid alternatives to the maximum extent permitted by law.

16. No waiver

Our failure to enforce any provision of these terms is not a waiver of our right to enforce that provision later or to enforce any other provision. No waiver is effective unless in writing and signed by an authorised representative of the relevant entity.

17. Entire agreement

These terms — together with our Privacy Policy and our robots.txt crawler policy — constitute the entire agreement between you and DataPortal regarding access to and use of the marketing Site. Any signed customer contract supersedes these terms for matters within its scope.

18. Changes

We may update these terms from time to time. The "Effective" date and version number at the top of this page reflect the most recent change. Material changes will be highlighted at the top of the page for at least 30 days following publication. Your continued use of the Site after changes take effect constitutes acceptance.

Plain-language summary: read the Site, link to it, quote it briefly with attribution. Don't scrape, reverse-engineer, frame, or train models on it beyond what robots.txt allows. The DataPortal name and IP belong to DataPortal Ltd in Hong Kong and are protected by law. Real commercial commitments live in signed contracts with one entity, not on this page. Each entity stands on its own legal feet — debts and obligations don't bleed across the two.

These terms are provided in good faith for the marketing Site only. They are not legal advice and are not a substitute for review by qualified counsel in your jurisdiction. We recommend that customers obtain their own legal advice before relying on the Site or entering any commercial engagement.
